The filings behind every signal

Each signal is a filing you can open on Companies House, never a guess. Cash events show money moving to the owner. Early signs often come before a sale, but plenty never lead to one, so they are labelled as context, not predictions. A signal is high confidence only when two different filings corroborate it within 180 days.

A solvent company is being wound up and its reserves paid out to shareholders. The sworn declaration of solvency states the surplus.
Sold to an acquirer

An individual owner stops being a person with significant control and a corporate buyer takes their place within weeks.
Stake sell-down

A holding of 10% or more falls by half or more between confirmation statements. Dilution can look similar, so it is corroborated where possible.
Share buyback

The company buys shares back from a shareholder for cash. The register shows whose holding was cancelled.

A newly incorporated holding company takes control of the trading company. Often done ahead of a sale, but also for tax and succession.
Capital reduction

Share capital is reduced, usually to release reserves for a distribution. Most are group housekeeping, so it is context unless the owner is an individual.
Charges satisfied

Lender security is released. It usually means a refinancing, so it is shown as context only. Companies House publishes no charge amounts.
Director stepped down
TM01
An owner-director resigns from the board. Can mean succession or a sale in progress, or simply retirement.

How the estimate works

  • Stake value is a floor: the shareholding times the company's latest filed net assets, or six times EBITDA where that is higher, capped per holding. It is not net worth.
  • Shown in bands, never as a precise figure, with the filings it came from.
  • Signals are filings, not forecasts. Registers can trail the event by weeks, and confirmation statements are annual.
  • Built only from the public Companies House register. Anyone listed can object and be removed.
